Overview of Changes
- A new section “Addendum - Premium Service Terms” was added within the Terms framework, which was moved from a previously separate document for paying customers.
- The existing terms have been updated with minor terminology clarifications and references with the new Addendum structure.
1. New: Addendum - Premium Services Terms
A comprehensive Addendum section has been added to supplement the core Terms. It adopts content which was moved from the previous stand-alone Premium Services Agreement, including:
- Supplemental definitions for key concepts such as Customer, Deliverables, Fees, and Schedules
- Premium Services, including reference to schedules that outline premium service items customer shall receive
- Fees and Payments, such as fees, invoicing, payment terms, taxes, and late payment provisions
- Representations and warranties specific to Premium Service usage
- Termination, including renewal terms, termination for convenience, breach, and insolvency
- Other general statements such as unforeseen circumstances, survival, and counterparts.
2. Updates to existing Terms and Conditions
- The main Terms have been updated to formally incorporate and reference the Premium Services Addendum
- Minor updates and clarifications have been made throughout to align terminology and references with the new Addendum structure.
